General Terms of Sale

1. Who sells and to whom these terms apply

1.1 Arenia is a service provided by:

1.2 These terms govern purchases of the Arenia service made on the website www.arenia.it with payment by card.

1.3 Sales are reserved to businesses and professionals with an Italian VAT number. The purchaser (hereinafter the «Buyer») acts in the course of its business or professional activity and provides its Italian VAT number. No sales are made to consumers, nor, for now, to businesses with a VAT number from other countries. Whoever fills in the order on behalf of a business declares that they have the authority to do so.

1.4 A different written agreement, signed by both parties, prevails over these terms.

2. Terms used

• Participant: the person designated by the Buyer who practises with Arenia. They have a personal User Account.
• User Account: access to Arenia assigned to a single Participant, identified by their email address, with credentials known only to them.
• Professional Situation: the work conversation being practised, for example a sales call.
• Simulation: a practice conversation between the Participant and the AI-Trainer, Arenia's conversation partner, on a Professional Situation. A Simulation counts from the moment the first line of the conversation starts; a Simulation interrupted by a Synergix fault does not count.
• Simulation Feedback: what the Participant receives immediately after a Simulation, i.e. the structured feedback on the behaviours practised.
• Individual Sheet: the page, in the Participant's private area, that collects all their Simulation Feedback and shows, Situation by Situation, how each criterion is moving.
• Access Period: the period purchased, during which the Participants can practise.

3. What is purchased

3.1 The Buyer purchases access to Arenia Train, voice practice with the AI-Trainer, for the number of Participants and the Access Period chosen on the payment page.

3.2 For each Participant, access includes: the Simulations on the standard Professional Situations available in the service, the structured feedback on the behaviours practised and the Individual Sheet.

3.3 Not included: custom-built Professional Situations, video practice, support from a trainer, use in a classroom with a group (classroom mode), integrations with other company systems. If of interest, they require a separate offer.

3.4 The features of the service are those described on the purchase page at the time of the order. The list of standard Professional Situations may be updated during the Access Period, without substantially reducing what has been purchased.

4. How the contract is concluded

4.1 The order is placed on a secure payment page, in four steps: number of Participants; business details (company name, registered office address and VAT number required; recipient code (codice destinatario) or PEC optional) and, if already known, the Participants' email addresses; acceptance of these terms and specific approval of the clauses in Art. 19; payment.

4.2 Before paying, the Buyer can check and correct all the data entered. After payment, incorrect data is corrected by writing to info@arenia.it.

4.3 The contract is concluded when the payment is authorised. Synergix sends the Buyer a confirmation email with the order summary and a link to these terms in the version accepted. Synergix keeps every version of the terms. The contract is in Italian.

5. Price and payment

5.1 The price is the one shown on the payment page at the time of the order, per Participant and for the Access Period chosen.

5.2 It is a final price. Synergix operates under the Italian flat-rate tax scheme (regime forfettario): VAT is not due (Art. 1, paragraphs 54-89, Law 190/2014). Any stamp duty on the invoice is borne by Synergix. There are no other costs.

5.3 Payment is made in advance, in a single instalment, by card, through the Stripe payment service. Synergix does not receive or store the full card details.

6. Invoice

6.1 Synergix issues an electronic invoice through the Italian e-invoicing exchange system (Sistema di Interscambio), within the legal deadlines, made out to the details given in the order.

6.2 The invoice is delivered to the recipient code or PEC provided. If none is provided, it is available in the Buyer's reserved area on the portal of the Italian Revenue Agency (Agenzia delle Entrate), and Synergix sends a PDF copy by email.

6.3 The Buyer is responsible for the accuracy of the tax details it enters.

7. Access to the service

7.1 After the payment is confirmed, Synergix sends the link to enter the service to the Buyer's email address.

7.2 The Buyer provides the Participants' email addresses, in the order or later. Each Participant receives a personal invitation.

7.3 The Buyer manages its Participants' addresses. It has no access to the Simulations, their content or the Individual Sheets, which remain reserved to the Participant.

7.4 An address entered by mistake is corrected, on request to info@arenia.it, as long as that Participant has not started practising. If a Participant leaves the Buyer's business, Synergix reassigns their User Account to another person once only, on written request to the same address — the Buyer cannot do this on its own: the new person receives the User Account with the same Simulation count for the current calendar month, while the Simulations, the Simulation Feedback and the Individual Sheet of the person who left remain theirs and pass neither to the new person nor to the Buyer. If the access link does not arrive, simply write to the same address: Synergix acts without delay.

8. Duration and expiry

8.1 The Access Period has the duration shown on the payment page. It starts on the day Synergix sends the Buyer the access link and is the same for all the Participants in the same order.

8.2 At expiry, access ends automatically. There is no automatic renewal and there are no further charges. To continue, a new purchase is required.

8.3 The Access Period is not suspended and is not extended if the service is not used.

8.4 A new purchase made while an Access Period is running adds Participants with an Access Period of their own, which starts from the new order under Art. 8.1. It does not extend the Access Period of orders already concluded.

9. No refunds

9.3 Sole exception: if the service remains unavailable for a significant time for reasons attributable to Synergix, Synergix extends the Access Period by an equivalent time. If this is not possible, it refunds the part of the price corresponding to the period not used.

10. Permitted use

10.1 Each User Account is personal and named: it is assigned to a single Participant and only that Participant uses it. It cannot be transferred and does not pass to another person, except for the reassignment in Art. 7.4. Credentials must not be shared, not even with colleagues or other Participants: sharing credentials is a breach of contract. The same User Account must not be used to let several people practise, in turns or in a classroom; classroom mode is agreed separately (Art. 3.3).

10.2 The service is intended for the professional practice of the Participants. It is not permitted to:

• transfer, resell or make access available to third parties;
• use the service in an automated way or extract data from it outside the functions provided;
• use the service, or what it produces, to train or fine-tune artificial intelligence systems;
• attempt to circumvent the security measures;
• enter into the Simulations personal data of customers or of other real people, confidential information or unlawful content.

10.3 Each User Account includes at most 50 Simulations per calendar month, per User Account, with no carry-over. The count follows the definition of Simulation in Art. 2 and restarts from zero on the first day of each calendar month; Simulations not done in one month do not carry over to the following month. The maximum defines the practice included: it is not a pricing unit and does not generate additional charges. Once the maximum is reached, Synergix may block new Simulations on that User Account until the following month.

10.4 In case of breach of this article, including sharing credentials, Synergix may suspend the User Account concerned. Before suspending, Synergix gives the Buyer written notice of the alleged breach and allows it 5 days to clarify or end it; in case of serious ongoing abuse it may suspend immediately and informs the Buyer. The suspension lasts as long as needed to end the breach.

10.5 Suspension for breach gives no right to a refund or to an extension of the Access Period.

10.6 The Buyer makes these rules known to its Participants and is responsible for the use they make of the service.

10.7 The rules on User Accounts are set out in the Standard Annex — User Accounts and Use, which forms part of these terms. Synergix may ask each Participant to accept the annex on first access and records the acceptance with date, time and version of the text.

11. What the service offers, and what it does not

11.1 Arenia offers practice and structured feedback on the behaviours practised. It does not attest skills, does not express judgements on the person and does not promise any training or economic result.

11.2 The Participant converses with an artificial intelligence system, and the service says so. Automatically generated content may contain inaccuracies.

11.3 The service is standard and runs in a shared environment. It does not include guaranteed minimum availability levels, access with centralised company credentials, integrations with other systems or export of the conversations. Synergix provides it with professional diligence and may update its technical components, without substantially reducing what has been purchased. There may be short interruptions for maintenance.

12. Personal data

12.1 For the Participants' data processed in the service (for example the email address, the voice and text of the Simulations, the feedback) the Buyer is the controller and Synergix is the processor within the meaning of Art. 28 of Regulation (EU) 2016/679.

12.2 The processing is governed by the Data Processing Agreement, which forms part of these terms and which the Buyer accepts with the order.

12.3 The Buyer informs the Participants before they start practising and checks that it can do so in compliance with data protection rules and employment law. Synergix provides a privacy notice text for Participants (in Italian) that the Buyer can use.

12.4 Synergix is an independent controller of the Buyer's data for the order and invoicing and of the technical and security logs, as described in the Privacy Policy (Italian version).

13. Intellectual property

13.1 The platform, the standard Professional Situations, their content and the Arenia brand remain the property of Synergix. The Buyer receives the right to use them for the Access Period, for its own Participants, on a non-exclusive and non-transferable basis.

13.2 What the Buyer and the Participants bring into the service remains theirs.

14. Liability

14.1 Synergix is liable for direct damage caused by its own breach, up to the price paid for the order to which the damage relates.

14.2 Synergix is not liable for indirect damage, loss of profit, loss of business opportunities or loss of data that the Buyer can reconstruct.

14.3 The limits in this article do not apply in case of wilful misconduct or gross negligence, nor where the law does not allow them.

14.4 Neither party is liable for delays or interruptions due to events beyond its reasonable control, such as prolonged failures of networks or of third-party suppliers, or measures of an authority.

15. Changes to the terms

Synergix may update these terms. Each order remains governed by the version accepted at the time of purchase.

16. Communications

Communications to Synergix are sent to info@arenia.it. Those to the Buyer, to the email address given in the order.

17. Governing law and jurisdiction

17.1 The contract is governed by Italian law.

17.2 The Court of Verona has exclusive jurisdiction over any dispute.

18. Final clauses

If a clause is found to be invalid, the others remain valid. These terms, together with the Standard Annex — User Accounts and Use, the Data Processing Agreement and the order summary, are the entire agreement between the parties on the purchase.

19. Specific approval

Pursuant to Articles 1341 and 1342 of the Italian Civil Code, with a separate confirmation on the payment page the Buyer specifically approves the following clauses:

• Art. 9 (no refunds and the limited exception in Art. 9.3);
• Art. 10.2 (prohibition on transferring or reselling access to third parties);
• Arts. 7.4 and 10.1 (named User Account, not transferable except for one reassignment, prohibition on sharing credentials);
• Arts. 10.3, 10.4 and 10.5 (maximum of 50 Simulations per calendar month per User Account, suspension of the User Account in case of breach, without refund);
• Art. 11.3 (update of the technical components, no guaranteed minimum availability levels);
• Art. 14 (limitation of liability and exclusion of indirect damage);
• Data Processing Agreement, Art. 8.2 (termination following an objection to a new sub-processor, without refund except for the exception in Art. 9.3);
• Art. 17.2 (exclusive jurisdiction of the Court of Verona).
